A 1099 tax statement will be filed with the IRS for the actual total value of each Grand Prize. Each confirmed Grand Prize winner (“Grand Prize Winner”) will receive a 1099 form in the mail, to be processed in the year in which he or she receives the prize. Sponsor reserves the right to conduct a background check on the Potential Winners and reserves the right in its sole discretion to disqualify any Potential Winner on the results of such background checks, if Sponsor determines in its sole discretion that awarding a prize to such Potential Winner might reflect negatively on Sponsor. Factors that would result in disqualification as a Potential Winner include, without limitation and as permitted by applicable law, any winner that Sponsor reasonably believes may have breached the applicable Sponsor Terms of Use accessible here (as applicable), and/or may have been convicted of a felony or misdemeanor, or being delinquent on a government ordered payment, such as child support, spousal support, alimony, tax payments, etc.
6. Grand Prizes and Approximate Retail Value (“ARV”): Three (3) Grand Prizes will be awarded, one (1) Grand Prize per Entry Period. Each confirmed Grand Prize Winner will receive a diamond encrusted ring with an ARV of $10,000, and they will receive $4,500, awarded in the form of a check in the name of each confirmed Grand Prize Winner, to help offset taxes assessed to each Grand Prize Winner. All details of the ring prize are in Sponsor’s sole discretion. The total ARV of each Grand Prize awarded in the Sweepstakes is $14,500. In case of any unavailability of the Grand Prizes, Sponsor reserves the right, in its sole discretion, to substitute a prize of equal or greater value.
7. Prize Restrictions: Limit one (1) Grand Prize per person/household/email address. Winners are solely responsible for any and all applicable federal, state and local taxes and all other costs and expenses associated with their prize not specified herein as being awarded. No transfer, resale, or other substitution of a prize. Prizes are Sponsor-specified.
8. General Rules: Incomplete, corrupted, or untimely Entries are void and will be disqualified. Sweepstakes Entities are not responsible for lost, late, incomplete, damaged or misdirected Entries/winner notification documents; lost, interrupted, or unavailable network, server, or other connections; or miscommunications, computer or software malfunctions, telephone transmission problems, technical failures, garbled transmissions, damage to a user's computer/phone equipment (software or hardware), or other errors or malfunctions of any kind, whether human, mechanical, electronic or otherwise. Proof of entry will not be deemed to be proof of receipt by Sponsor. Sponsor reserves the right to cancel, suspend and/or modify the Sweepstakes, or any part of it, if any fraud, technical failures or any other factor beyond Sponsor's reasonable control impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion, and in the event of cancellation, the Grand Prizes will be awarded in separate Random Drawings from among all eligible Entries received by the end of each Entry Period in accordance with these Official Rules prior to cancellation. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. WARNING: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE ASSOCIATED WITH THE SWEEPSTAKES OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAW; SHOULD ANY SUCH ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO PROSECUTE AND SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor reserves the right at its sole discretion to disqualify any individual it finds: to be attempting to tamper with or undermine the entry process, and/or the legitimate operation of the Sweepstakes; to violate the Official Rules; or, to act in an unsportsmanlike or disruptive manner or with the intent to annoy, abuse, threaten, or harass any other person. If, for any reason, the Sweepstakes is not capable of running as planned, Sponsor may, in its sole discretion, void any suspect Entries and (a) modify the Sweepstakes or suspend the Sweepstakes to address the impairment and then resume the Sweepstakes in a manner that best conforms to the spirit of these Official Rules; or (b) award the prizes in Random Drawings from among all eligible Entries received by the end of each Entry Period in accordance with these Official Rules prior to cancellation.
9. Warranties and Representations; Release of Liability; Limitation on Damages: You hereby hold each of the Sweepstakes Entities and each of their respective officers, directors, members, managers, employees, agents, representatives, successors and assigns (the “Released Parties”) harmless from and against any third-party claim arising from use of any Entry and you waive any right to inspect or approve uses of your Entry by Sponsor in connection with the Sweepstakes or to be compensated for any such uses. Participating in the Sweepstakes constitutes permission to the Sponsor to use a Grand Prize Winner’s name, address, and likeness in connection with the administration of the Sweepstakes only and as otherwise required by law. By participating in the Sweepstakes, the Entrant agrees that Released Parties will have no liability whatsoever for, and will be held harmless by Entrant for any liability for any bodily injury, loss or damages of any kind to persons, including death, and property, due in whole or in part, directly or indirectly, from Entry, the acceptance, possession, use or misuse of prize or component thereof, if applicable, or participation in the Sweepstakes or participation in any Sweepstakes related activity. Moreover, unless prohibited by applicable law, Entrant further agrees that in the event of any legal dispute with the Released Parties, Entrant will not be permitted to obtain awards for, and Entrant hereby waives all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than Entrant's actual out-of-pocket expenses (i.e., costs associated with participating in this Sweepstakes), and Entrant further waives all rights to have damages multiplied or increased or to seek injunctive or other equitable relief. You hereby represent and warrant that you have read these Official Rules and are fully familiar with their contents and agree to be bound by them.
10. Arbitration Provision: READ THIS SECTION CAREFULLY. IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING WAIVING YOUR RIGHT TO FILE A LAWSUIT IN COURT OR TO PURSUE CLAIMS IN A CLASS OR REPRESENTATIVE CAPACITY. Entrant agrees that (1) any and all past, present and future disputes, claims and causes of action arising out of, relating to or connected with this Sweepstakes (whether based on statute, ordinance, regulation, common law or otherwise) that are not resolved by direct discussions or mediation shall be resolved individually, without resort to any form of class or other representative action, and exclusively by final and binding arbitration under the Consumer Arbitration Rules of the American Arbitration Association (“AAA”) then in effect and held at the AAA regional office nearest the Entrant; (2) the Federal Arbitration Act, 9 U.S.C. § 1 et seq., shall govern the interpretation, and enforcement of this Arbitration Provision and all proceedings at such arbitration; (3) to the extent state law is applicable under the FAA, the laws of the State of California will apply; and (4) judgment upon the arbitrator’s award may be entered in any court having jurisdiction. The parties also agree not to join or consolidate claims with claims by or against any other person, unless the parties otherwise agree. If for any reason the AAA cannot administer the arbitration and the parties cannot agree on a replacement, a court with jurisdiction shall select the arbitration organization or arbitrator. A single arbitrator will conduct the arbitration and shall be an attorney with at least 10 years of experience practicing law or a retired judge unless the parties otherwise agree. The parties shall pay administrative, hearing and arbitrator fees in accordance with the AAA’s or other administrator’s rules and fee schedules. If the arbitrator determines that any party’s claim or defense violates the standards of Federal Rule of Civil Procedure 11(b), the arbitrator may award fees and expenses reasonably incurred by the other party if they could be imposed under Federal Rule of Civil Procedure 11, the AAA Rules, or other applicable law. The parties shall bear the fees and expenses of their own attorneys, experts and witnesses unless otherwise required by applicable law, this Arbitration Provision or the AAA Rules. In arbitration no party will have the right to a trial in court by a judge or jury. Notwithstanding the foregoing, this Arbitration Provision shall not limit the right of either party to seek relief in an applicable small claims court (or an equivalent court) for any dispute within the scope of the small claims court’s jurisdiction, however, if a claim is brought, transferred, removed or appealed to a different court, such claim shall be subject to arbitration pursuant to this Arbitration Provision. This Arbitration Provision shall survive the conclusion of the Sweepstakes or the bankruptcy of any party. This Arbitration Provision applies to and may be enforced by the Sweepstakes Entities (including but not limited to Activision Publishing, Inc.), their employees, officers, directors, attorneys, affiliated companies, predecessors and assigns, and any third party who is named as a co-defendant with any of the foregoing in a dispute asserted by Entrant. Any finding, award or judgment from an arbitration of any claim shall apply only to that arbitration. No finding, award or judgment from any other arbitration shall impact the arbitration of any claim. If any portion of this Arbitration Provision is held to be invalid or unenforceable, the remaining portions shall nevertheless remain in force, except that: (a) if a determination is made that the class action waiver is unenforceable, and that determination is not reversed on appeal, then the Arbitration Provision (except for this sentence) shall be void in its entirety; and (b) if a court determines that a public injunctive relief claim may proceed notwithstanding the class action waiver or other terms of this Sweepstakes, and that determination is not reversed on appeal, then the public injunctive relief claim will be decided by a court, any individual claims will be arbitrated, and the parties will ask the court to stay the public injunctive relief claim until the other claims have been finally concluded. If this Arbitration Provision conflicts with the other terms of this Sweepstakes or the AAA Rules, this Arbitration Provision will govern.
11. Applicable Law: Except as set forth in the above Arbitration Provision, this Sweepstakes shall be governed by and construed and enforced in accordance with the laws of the State of California, without regard to conflict of law principles.
